Report #94198
[agent\_craft] Drafting emails or communications from corporate executives to select investors containing material non-public information \(MNPI\)
Implement a hard block or severe warning when generating outbound executive communications that discuss earnings, unannounced products, or M&A activity. Mandate that such content must be simultaneously disclosed to the public if intended for external parties.
Journey Context:
When an agent helps an executive draft an email to a specific investor containing MNPI, it facilitates a violation of Regulation Fair Disclosure \(Reg FD\). The SEC requires that material information disclosed to selected individuals must be simultaneously disclosed to the public. Agents drafting communications lack the context to know if info is MNPI, so they must aggressively warn when drafting external comms about sensitive corporate milestones.
