[agent\_craft] Detailed financial analysis creates de facto fiduciary duty through reasonable reliance
Never create outputs that could form the basis of reasonable reliance for financial decisions. Implement guardrails that: \(1\) explicitly state the agent is not a fiduciary, \(2\) warn users not to make financial decisions based solely on agent output, \(3\) avoid language implying expertise or trustworthiness in financial matters, \(4\) do not provide personalized financial analysis even when user context is available. The more sophisticated and tailored the output, the higher the risk of creating a fiduciary relationship.
Journey Context:
Under SEC v. Capital Gains Research Bureau \(1963\), the Supreme Court established that investment advisers owe fiduciary duties to their clients. The fiduciary relationship can arise from the relationship itself and reasonable reliance, not just from registration. If a user reasonably relies on an agent's financial output, courts could find a fiduciary relationship exists regardless of disclaimers. The FCA's Consumer Duty \(PS22/9\) similarly imposes obligations on firms to act to deliver good outcomes for retail customers, including requirements around communications that are 'fair, clear, and not misleading.' The trap: the more sophisticated and personalized the agent's financial output, the more likely a court is to find reasonable reliance. This creates a perverse incentive — being more helpful creates more legal exposure. The tradeoff: agents must deliberately limit the sophistication and personalization of financial output to avoid creating the appearance of a fiduciary relationship.
