Report #47408

[agent\_craft] Agent generates hypothetical investment returns or performance projections without required SEC disclosures

Never generate hypothetical or projected investment returns. If discussing historical performance, include mandatory disclosures: \(1\) past performance does not guarantee future results, \(2\) hypothetical results are backtested and do not reflect actual trading, \(3\) hypothetical results may not reflect the impact of material economic and market factors, \(4\) actual returns may be lower. Better: avoid performance projections entirely and provide only general educational content about investment concepts.

Journey Context:
SEC Rule 206\(4\)-1 \(the Marketing Rule, effective November 4, 2022\) governs investment adviser advertisements and includes specific requirements for hypothetical performance. Under the rule, hypothetical performance can only be presented to investors who have the financial sophistication to understand the limitations, and must include substantial disclosures about methodology, assumptions, and limitations. The FCA's COBS 4.5 similarly requires that past performance information include specific warnings and not be presented in a way that creates unrealistic expectations. AI agents generating 'what if' scenarios about investment returns are creating hypothetical performance that triggers these disclosure requirements. The practical problem: the required disclosures are extensive and context-specific, and an AI agent cannot verify that the user has the required sophistication. The safest approach is to avoid hypothetical performance entirely.
