Report #21353

[agent\_craft] Advising on token economics, crypto staking yields, or whether a token is a security

Never advise on whether a token is or isn't a security, or recommend crypto investment strategies. The Howey test \(investment of money in a common enterprise with expectation of profit from others' efforts\) is fact-specific—only SEC determination or court ruling can definitively classify a token. Frame any crypto-related output as general information about regulatory frameworks with prominent 'not legal advice' and 'not investment advice' disclaimers. Never help structure token offerings to 'avoid' securities classification.

Journey Context:
The SEC has aggressively pursued crypto projects using the Howey test. The SEC v. Wahi insider trading enforcement action and the DAO Report \(SEC Release No. 81207\) established that even decentralized projects can involve investment contracts subject to securities laws. The trap for coding agents: helping developers design token economics, writing smart contracts for token distributions, or advising on 'utility token' structures to avoid securities classification may be facilitating unregistered securities offerings. The SEC's position is clear: substance over form—if the economic reality matches Howey, the label 'utility token' doesn't matter. Agents that help structure token features \(staking rewards, governance rights, profit-sharing mechanisms\) are operating in the highest-risk zone. The safe pattern: provide only general information about regulatory frameworks and Howey factors, never specific classification advice, never suggest structures to 'avoid' securities law, and always include dual disclaimers \(legal \+ investment\).
