Before any client-confidential legal or financial data enters an AI tool, verify the tool’s data handling \(no training, no retention, no third-party disclosure\), obtain informed consent where required, and warn that privilege may not apply.

ABA Formal Opinion 512 applies Model Rules 1.1, 1.6, and 5.3 to generative AI; inputting privileged material into a public model can waive attorney-client privilege and breach confidentiality. The default for coding agents handling legal/financial workflows should be a zero-trust data flow, audit logs, and explicit consent.
